Anjali heads the Tax, Leisure / Hospitality and Construction practice groups of the firm.
Anjali has over 20 years’ of experience advising clients on all aspects of commercial and corporate law ranging from establishing joint venture projects of varying sizes and magnitude; on foreign direct investment, private equity investments, infrastructure projects in the energy, ports, telecom sectors; on mergers and acquisitions, advising investors / Government on privatizations of State entities, drafting a wide range of contracts and has been involved with law reform and policy making.
Before joining the firm. Anjali worked as a junior counsel to Mr. K.Kanag-Isvaran, Presidents’ Counsel specializing in corporate litigation.
Anjali holds a Master’s degree in International Business law from University College London of the University of London and a Bachelor of Laws (Hons.) degree from the University of Colombo.
In addition to practicing in Sri Lanka, Anjali has work experience in Dubai and the Maldives.
As the head of the tax practice group, her clients include both companies in Sri Lanka and overseas and has advised on matters including the tax implications of their operations in Sri Lanka; taxation aspects of proposed transactions including change of business models, restructure of businesses, transfer of businesses, change in the scope of business etc, transfer pricing and the implications on both international and domestic transactions; applicability of indirect taxes / duties; the applicability of the provisions of the double taxation treaties, setting up permanent establishments in Sri Lanka and the implications thereof.
As head of the leisure/hospitality and construction practice groups, Anjali has advised on many transactions that have literally changed the landscape of the country ranging from advising on setting up several large scale and luxury branded mixed development projects, hotels, residencies, to malls, roads, bridges, thermal power plants, water plants, and in doing so has also advised many different players in those projects ranging from developers, brand-owners to international construction contractors.
Anjali has worked with clients ranging from Chinese State construction companies operating in Sri Lanka, Spanish hotel operators, French construction company, a Spanish global construction company, a global real estate services firm, a subsidiary of an Indian conglomerate and is experienced in using both the international forms of construction contracts (such as FIDIC) and the Sri Lankan standard form CIDA contracts.
In addition, Anjali has significant expertise and experience in advising on varied infrastructure projects with particular focus on the power sector and now, more so in the renewable energy sector. She also advises clients on foreign direct investments in multifarious areas and private equity investments.
In the power and energy sector, Anjali has advised numerous companies on the setting up (including advising on foreign direct investment) and operation of thermal, solar, wind and hydropower projects including the review and negotiation of power purchase agreements, drafting of turnkey and other agreements necessary for such projects. She has had had significant experience on the regulatory aspects of the sector in that she was part of the World Bank led team that advised on the reform of the electricity laws which included the drafting of the Sri Lanka Electricity Act, the Public Utilities Commission of Sri Lanka Act as well as regulations promulgated under such laws.
She has advised on all aspects of private equity investments including the setting up of PE funds, PE investments in a multitude of sectors, drafting/negotiating share subscription and shareholder agreements in relation to such investments.
Anjali also has considerable experience in advising on drafting new laws and regulations and notably was part of the team advising the State through the World Bank funded project for the reform of all the laws of the electricity sector including the promulgation of the new Sri Lanka Electricity Act, the Public Utilities Commission Act and the regulations promulgated under both those laws. Other laws in which she has advised and / or assisted the State in the promulgation or amendment of laws / regulations on tourism and port competition.
