Manjula heads the real estate practice group of the firm.
She has over 35 years’ of experience in advising local and international, individual and corporate clients in all matters relating to real estate law ranging from buying and selling of real estate including condominiums and security creation in conventional lending transactions as well as complex security related aspects of project financing transactions. She also regularly advises clients on investments in property in Sri Lanka.
Manjula also advises on and drafts all security documents relating to the financing of significant infrastructure projects in the country.
Manjula commenced her legal career at FJ&G de Saram as a legal associate where she was subsequently invited to the Partnership in the year 2002.
As the head of the real estate practice group Manjula has led many market-leading real estate and security related projects.
She has advised a foreign bank in connection with the creation of security documents by the borrower, in a lending transaction, which security documents include inter alia, a mortgage over leasehold rights of the reclaimed land by the borrower which included title examination of the seabed/reclaimed area.
She advised a developer in connection with the investment in a port operation project in the South Coast of Sri Lanka, which involved the leasing of property by the Developer for 99 years.
Manjula also advised a real estate developer in the examination of title to property, the purchase of property for a condominium project and registration of the condominium deed of declaration under the apartment ownership law.
Manjula conducted a legal due diligence on land in the Colombo Fort leased by the Urban Development Authority of Sri Lanka to an international hotel chain in connection with a mixed development project.
She also acted for an investment company in connection with the purchase of property for a luxury residential country club villa community in the Southern coast of Sri Lanka and prepared drafts of the sale and purchase agreement and connected documents thereto.
Manjula also advised a financial service provider in the preparation of and attending to the execution of security documents in respect of inter alia shares, all receivables under loan agreements in connection with the loan facility granted by the financial service provider to the borrower.
She also acted for a telecommunication service provider in connection with the feasibility of constructing, providing and managing a cable depot and cable ship base port at two different ports located in Sri Lanka which involved a diligence study on the title to land of the Sri Lanka Ports Authority and review of the lease agreement and advised thereon.
Manjula has acted for an investment bank in regard to the syndicated loans to be granted by two banks for several hydro power companies.
She also acted for a financial service provider in connection with a lending transaction which involved the examination of title to properties belonging to the said company and its subsidiaries, and preparation of security documents including mortgage bonds over land and shares.
Manjula also conducted a due diligence study relating to the real estate aspects of a hydropower company and its subsidiaries in Sri Lanka.
She advised on the security documentation relating to a loan to be obtained by the client and on the applicability of the provisions in the Land (Restrictions on Alienation) Act in respect of identified property which was proposed to form security to the Lender.
