The firm has played a key role in the development of company law and corporate governance framework in Sri Lanka through advisory services in such practice area and also through its involvement in company and corporate law reforms over the years. A partner of the firm was a member of the Advisory Council which drafted the Companies Act No. 07 of 2007 and the firm has consistently made submissions to law reform committees to introduce timely and landmark changes in the sphere of company law and corporate governance.
The company law and corporate governance practice group of the firm advises, on a regular basis, on all aspects of company law and corporate governance.
The services provided by the company law and corporate governance group include advising on the setting up of companies/other corporate bodies including private equity and venture capital funds; issuance, transfer, transmission, repurchase and redemptions of shares and debt securities in unlisted companies; corporate governance and other compliance requirements under company law and laws governing regulated industries including on matters pertaining to board of directors, conduct of board and shareholder meetings, establishment of employees share ownership schemes in unlisted companies etc.
