Ayomi is the Precedent Partner of the firm and heads the general Corporate Law practice group of the firm.
Ayomi has over 25+ years of working in all areas of corporate commercial law ranging from company law to employment law and capital markets to environmental law. Her strength lies in her ability to examine all of the commercial law aspects of a matter for a client.
Before joining the firm, Ayomi was the Secretary General of the Centre of the Institute for the Development of Commercial Law and Practice from its inception of its Arbitration Centre in 1996 and was involved in the formulation of its rules, administrative procedures. Ayomi started her career as temporary state counsel in the civil section of Attorney General’s Department.
Ayomi holds a Masters in Comparative law from the Delhi University.
Ayomi is the chairperson of an affiliate of the firm, Corporate Services Limited, a company providing registrar, trustee and secretarial services.
Ayomi has specialized in particular areas of law over time including in investment/capital markets, infrastructure and banking and finance law.
Ayomi has advised both local and foreign venture capital funds, private equity funds and funding bodies.
She has advised on investment in private companies and public listed companies. In this regard, Ayomi has advised on private investment into public state-owned companies both for the private investor as well as the public sectors including foreign investment in the National airline, in the privatization of downstream petroleum in the national telecom service provides and in the port sector. She advised on all legal aspects of the above including on carrying on a legal due diligence, on necessary structuring of investment.
Ayomi heads the capital market practice of the firm. She advises the Colombo Stock Exchange, entities listed on the Exchange and other market intermediaries such as investment bankers, securities brokers, rating agencies etc and as such has an in depth understanding of the legal framework in the context of all aspects of market activities as well as the business nuances of the stakeholders.
Ayomi also heads the infrastructure practice. As such she has advised on many infrastructure projects including in the port, water and electricity sectors both for the private sector as well as the government. Such advice ranges from procurement, structuring participation of the government, to the preparation and review of legal documentation.
As a member of the banking and finance practice, Ayomi has worked on all types of financing for corporate business including on project financing both for the lender as well as for the borrower. She was a part of the legal team that advised on the structuring and prepared legal documentation of the first tea receivables securitizations and the first electricity receivables securitization.
Ayomi has also been involved in the preparation of legislation for establishing a legal framework or supporting existing law. Examples include rules issued by the Colombo Stock Exchange and regulations under the Colombo Port City Economic Commission Act, the Electricity Act and regulations thereunder, the law that converted the National Development Bank from a specialized bank to a commercial bank, a draft Port Competition Act etc.
